Terms Of Purchase

1. General

These Terms of Purchase apply to all sales of products by Innore OÜ (hereinafter “Innore”) unless otherwise agreed in writing. By placing an order, the customer agrees to these terms.

Innore sells to both business customers and private individuals in Estonia, Norway, Sweden, and Finland.


2. Products

All products are custom-made based on the drawings, dimensions, and specifications approved by the customer.

Innore manufactures products strictly according to the approved documentation. The customer is fully responsible for ensuring that all submitted measurements and specifications are correct.


3. Orders & Agreement

A binding agreement is formed once:

  • the customer has approved the offer, and
  • Innore has confirmed the order.

Innore reserves the right to refuse any order.


4. Prices

All prices are specified in the offer or order confirmation.

Innore reserves the right to adjust prices due to:

  • material cost changes;
  • currency fluctuations;
  • external factors beyond Innore’s control

If such changes occur before production starts, the customer has the right to cancel the order.


5. Payment Terms

Payment terms: 100% advance payment.

Production will only begin after full payment has been received.

If payment is delayed, Innore reserves the right to:

  • postpone production
  • delay delivery accordingly

6. Delivery Terms

Delivery condition: EXW (Ex Works).

This means:

  • The customer is responsible for transport, risk, and costs from Innore’s factory.
  • Risk transfers to the customer once the goods are made available for pickup.

Delivery times are estimates unless explicitly agreed otherwise.

Innore is not responsible for delays caused by:

  • suppliers
  • transport companies
  • force majeure events

7. Delivery Time

Estimated delivery time is provided in the offer or order confirmation.

If multiple products are ordered, the longest delivery time applies.

Innore is not liable for any indirect damages caused by delays.


8. Inspection & Transport Damage

The customer must inspect the goods immediately upon receipt.

If visible damage is detected:

  • it must be noted on transport documents
  • the carrier must be notified immediately

Hidden damage must be reported within 7 days of receipt.

The product must not be used or installed before the issue is reported.


9. Installation Responsibility

Innore does not provide installation services.

The customer is fully responsible for:

  • installation
  • compliance with local building regulations
  • correct use of the product

Innore is not liable for any damage caused by incorrect installation.


10. Warranty

Warranty periods:

  • Estonia: 2 years
  • Finland: 2 years
  • Sweden: 2 years
  • Norway: 5 years

The warranty covers manufacturing defects only.

The warranty does NOT cover:

  • incorrect installation
  • incorrect use
  • normal wear and tear
  • damage caused during transport (after risk transfer)

Innore reserves the right to repair or replace defective products.


11. Complaints

Complaints must be submitted in writing within 7 days of delivery.

The customer must provide:

  • description of the issue
  • photos of the defect

Innore will assess the case and decide whether to:

  • repair
  • replace
  • provide an alternative solution

Products must not be modified or installed before approval from Innore.


12. Right of Withdrawal

All products are custom-made.

Therefore, the right of withdrawal does NOT apply.

Orders cannot be cancelled after production has started.


13. Limitation of Liability

Innore is not liable for:

  • indirect damages
  • loss of profit
  • project delays
  • penalties or contractual fines

Innore’s total liability is limited to the value of the purchased products.


14. Force Majeure

Innore is not responsible for delays or failure to perform due to events beyond its control, including but not limited to:

  • natural disasters
  • war
  • strikes
  • supply chain disruptions

15. Governing Law & Disputes

These terms are governed by Estonian law.

Any disputes shall be resolved through negotiations.
If no agreement is reached, disputes will be settled in Estonian courts.


16. Data Protection

Innore processes customer data only for order handling and delivery purposes.

Data may be shared with:

  • logistics providers
  • accounting services

Customers have the right to request access, correction, or deletion of their data.


17. Final Provisions

Innore reserves the right to update these terms at any time.

The version valid at the time of order confirmation applies.
